OMNI Prime Membership Terms of Service

1. Introduction

1.1 Agreement to Terms This OMNI Prime Membership Terms of Service (the “Agreement”) is a legally binding agreement between OMNI NOVAS Groups, LLC (“OMNI NOVAS,” “we,” “us,” or “our”) and you (“user,” “you,” or “your”). By becoming an OMNI Prime member, you agree to abide by the terms and conditions outlined in this Agreement.

1.2 Acceptance of TOS Your OMNI Prime membership is contingent on your acceptance of this Agreement. If you do not agree to the terms outlined here, please do not proceed with the membership registration process.

1.3 Modification of TOS OMNI NOVAS reserves the right to update, modify, or amend this Agreement at any time. Any changes will be communicated to you through the OMNI Prime Membership platform or other means. It is your responsibility to review these terms periodically.

 

2. Membership Eligibility and Registration

2.1 Eligibility Requirements OMNI Prime membership is available to individuals, businesses, and entities that meet the eligibility criteria outlined in this Agreement.

2.2 Registration Information You are required to provide accurate and complete registration information. You agree to keep this information updated.

2.3 Account Security You are responsible for maintaining the confidentiality and security of your OMNI Prime membership account. Any unauthorized access or use of your account must be reported to OMNI NOVAS immediately.

 

3. OMNI Prime Membership

3.1 Becoming a Member OMNI Prime membership offers various privileges and services. The specific privileges, benefits, and associated terms will be outlined in separate documents or agreements provided to OMNI Prime members. By completing the OMNI Prime membership registration process, you become a member with access to exclusive privileges.

3.2 Membership Privileges As an OMNI Prime member, you gain access to a range of privileges detailed in separate agreements and documents.

3.3 Termination of Membership OMNI NOVAS retains the right to terminate OMNI Prime memberships under specific conditions, as detailed in this Agreement.

3.4 Membership Fees If applicable, OMNI Prime membership fees and payment terms are outlined in separate agreements and documents. Payment terms, billing cycles, and applicable taxes will be clearly specified.

 

4. User Responsibilities

4.1 Account Responsibility You are solely responsible for all activities conducted through your OMNI Prime membership account. Keep your login credentials secure, and promptly report any unauthorized access or use of your account.

4.2 Compliance with Policies Members are expected to adhere to all applicable OMNI NOVAS policies, which may be found on our platform or communicated separately. Failure to do so may result in the suspension or termination of membership.

4.3 Unacceptable Behavior 

The following actions are strictly prohibited while using OMNI Prime membership and related services:

  • Harassment, defamation, or abuse of other members.
  • Unauthorized access to, use, or sharing of personal or confidential information.
  • Posting, transmitting, or distributing content that violates intellectual property rights, copyrights, or trademarks.
  • Disrupting the service or causing harm to OMNI NOVAS’ infrastructure.
  • Engaging in fraudulent activities or illegal conduct.

 

5. Website and App Development

5.1 Development Services OMNI Prime members may access a variety of website and app development services, as outlined in separate agreements and documents.

5.2 Commissions and Payments If applicable, information regarding commissions, fees, and payment schedules is detailed in separate agreements.

 

6. Privacy and Data

6.1 Data Usage OMNI NOVAS may collect, use, and disclose your personal information as described in our Privacy Policy. By using OMNI Prime membership, you agree to the terms outlined in our Privacy Policy.

6.2 Data Security We are committed to maintaining the security and confidentiality of your data. However, no system can guarantee absolute security. By using OMNI Prime membership, you acknowledge these limitations.

 

7. Content and Intellectual Property

7.1 User-Generated Content You may contribute content to OMNI NOVAS platforms. By doing so, you grant OMNI NOVAS a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, store, display, reproduce, and distribute your content.

7.2 Intellectual Property OMNI NOVAS retains all rights to the intellectual property associated with our platforms, services, and content. Unauthorized use is prohibited.

 

8. Termination and Suspension

8.1 Termination OMNI NOVAS reserves the right to terminate or suspend your OMNI Prime membership for violations of this Agreement or other policies.

8.2 OMNI NOVAS reserves the right to terminate your OMNI Prime membership at its discretion, with or without cause, and without notice. Termination may result from violations of this Agreement, other policies, or any other circumstances that, in OMNI NOVAS’ judgment, warrant termination.

8.3 Termination by Member Members have the right to cancel their OMNI Prime membership at any time by following the designated cancellation process. No refunds for membership fees are provided upon cancellation.

 

9. Dispute Resolution

9.1 Resolution Process Disputes arising from this Agreement will be resolved through a mediation or arbitration process as outlined in separate agreements and documents.

 

10. Liability and Warranty

10.1 Limitation of Liability OMNI NOVAS is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of OMNI Prime membership or related services.

10.2 Warranty OMNI Prime membership and related services are provided “as is” and “as available,” without any warranties, either expressed or implied.

 

11. Indemnification

You agree to indemnify and hold OMNI NOVAS, its subsidiaries, affiliates, officers, agents, and other partners harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of your use of OMNI Prime membership.

 

12. Third-Party Links and Services

OMNI NOVAS platforms may contain links to third-party websites or services. These links are provided for your convenience, and OMNI NOVAS is not responsible for the content or functionality of these third-party sites.

 

13. Modification and Termination of Service

OMNI NOVAS reserves the right to modify or terminate the OMNI Prime membership service at any time, without notice.

 

14. Communications

By becoming an OMNI Prime member, you agree to receive communications from OMNI NOVAS related to your membership.

 

15. Feedback and Suggestions

We encourage members to provide feedback and suggestions to help us improve our services. By doing so, you grant OMNI NOVAS the right to use and implement your feedback.

 

16. Miscellaneous

16.1 Entire Agreement This Agreement constitutes the entire understanding between you and OMNI NOVAS regarding OMNI Prime membership.

16.2 Changes to TOS Any changes to this Agreement will be communicated to you through OMNI NOVAS platforms or other means.

 

17. Governing Law and Jurisdiction

This Agreement is governed by the laws of Florida and any applicable U.S Federal Law. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts in Florida.

17.1 Legal Compliance Members must adhere to all local, national, and international laws and regulations relevant to their use of OMNI Prime membership and related services.

19. Service Accessibility

20.1 Support Channels OMNI NOVAS may provide user support through various channels, such as email, chat, or phone. Support availability and response times may vary.

20.2 Reporting Misconduct Members are encouraged to report any violations of this Agreement or misconduct they encounter within the OMNI Prime community. Reports can be submitted through the designated channels, and OMNI NOVAS will take appropriate action in response.

 

21. User Feedback and Testimonials

21.1 User Feedback We value your feedback on OMNI Prime membership services. You may share your experiences and suggestions to help us improve our offerings.

21.2 User Testimonials By using OMNI Prime membership, you grant OMNI NOVAS the right to use your testimonials for promotional and marketing purposes.

 

22. Changes to Membership Privileges

22.1 Membership Privilege Updates OMNI NOVAS may update or modify the privileges associated with OMNI Prime membership, with or without notice, to improve or adapt to changing circumstances.

 

23. No Waiver

Failure by OMNI NOVAS to enforce any provision of this Agreement does not constitute a waiver of such provisions.

 

24. Severability

If any part of this Agreement is deemed unenforceable, it will not affect the validity and enforceability of the remaining provisions.

 

25. Assignment

OMNI NOVAS may assign its rights and obligations under this Agreement to a third party without your consent.

 

26. Force Majeure

OMNI NOVAS is not liable for any delay or failure in performance due to events beyond our control.

 

27. Headings

The section headings used in this Agreement are for convenience and do not affect the interpretation or enforcement of the terms herein.

 

28. Modification and Termination of Service

28.1 Service Updates OMNI NOVAS reserves the right to modify or terminate the OMNI Prime membership service, or any associated features, at any time, with or without prior notice.

 

29. Effective Date

This Agreement becomes effective upon your acceptance of its terms and your initiation of OMNI Prime membership.
